1. Introduction

Welcome to SEO Academy. These Terms of Service ("Terms") govern your access to and use of our website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

2. Definitions

In these Terms:

  • "We", "us", "our", and "SEO Academy" refer to SEO Academy, a professional education provider in the Philippines.
  • "You" and "your" refer to the individual, company, or organization that has agreed to these Terms.
  • "Content" refers to all materials found on our website, including text, images, videos, audio files, logos, button icons, software, and other content.
  • "Course Materials" refers to all educational materials provided as part of our courses, including but not limited to videos, presentations, PDFs, workbooks, and exercises.

3. Account Registration

Some portions of our Services require you to create an account. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Course Enrollment and Payments

4.1 Enrollment: By enrolling in a course, you agree to pay all fees associated with the course. Unless otherwise specified, all fees are quoted in Philippine Pesos (₱).

4.2 Payment Methods: We accept payments through the methods specified on our website. You represent and warrant that you have the legal right to use any payment method you provide.

4.3 Refund Policy: Our refund policy varies by course and is specified on the respective course enrollment page. Generally, we offer a satisfaction guarantee for courses. If you are unsatisfied with a course, please contact us within 14 days of enrollment to discuss refund options.

5. Intellectual Property Rights

5.1 Our Content: All Content and Course Materials, including the selection, compilation, arrangement, and presentation of such materials, are owned by or licensed to SEO Academy and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our Content or Course Materials without our prior written consent.

5.2 Limited License: When you enroll in a course, we grant you a limited, non-exclusive, non-transferable license to access and use the Course Materials for your personal, non-commercial, educational purposes. This license is conditioned on your continued compliance with these Terms.

5.3 Feedback: If you provide us with comments, suggestions, or other feedback regarding our Services ("Feedback"), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, disclose, sublicense, distribute, modify, and otherwise exploit such Feedback without restriction.

6. Prohibited Conduct

You agree not to:

  • Use our Services in any way that violates any applicable law or regulation.
  • Share your account credentials or course access with others.
  • Copy, reproduce, distribute, or publicly display Course Materials.
  • Attempt to reverse engineer, modify, or create derivative works from any software or content included in our Services.
  • Remove any copyright, trademark, or other proprietary notices from any Content or Course Materials.
  • Use our Services to transmit malware, viruses, or any code of a destructive nature.
  • Interfere with or disrupt our Services or servers or networks connected to our Services.
  • Collect or harvest any information from our Services without our consent.
  • Impersonate or attempt to impersonate SEO Academy, an SEO Academy employee, or another user.

7. User Content

Our Services may allow you to submit content, such as forum posts, comments, or assignments ("User Content"). You retain ownership of your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display your User Content in connection with providing and promoting our Services.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it. You agree not to submit User Content that is unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT WILL SEO ACADEMY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

10. Indemnification

You agree to defend, indemnify, and hold harmless SEO Academy, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

11. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use our Services will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through a notice on our website. Your continued use of our Services after such modifications will constitute your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Metro Manila, Philippines.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

15. Entire Agreement

These Terms constitute the entire agreement between you and SEO Academy regarding our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our Services.
